Beta draft. Under legal review.

This document is a working draft written in plain language while our attorneys review it. It describes how Pacti actually works today. If anything here turns out to be wrong, we will fix it and say so.

Terms of Service

The short version

  • Pacti is software. You and the other person make the promise. We write it down, seal it, and keep count.
  • Money never moves through us. You pay each other however you already do, and you record it here.
  • We are not a lender, a bank, a money transmitter, a debt collector, or a law firm. Nothing here is legal, tax, or financial advice.
  • If you choose a paid tier, you are the only one charged. We authorize your card when you create the pacti and charge it only once both people have signed.
  • You are responsible for what your agreement says and whether it is legal where you live.

1. Who can use Pacti

You must be at least 13 years old to appear on a Pacti agreement. You must be at least 18 years old to open an account, to create a paid pacti, or to use the Money door, and to agree to these terms on your own behalf for those things.

The Friends door is the exception, and it is deliberate. A person aged 13 to 17 may use Friends entirely on their own: create, receive, accept, sign, look at and complete a Friends pacti, and agree to the terms needed to do so, with no parent, guardian or other adult as a party of record. Friends carries no amount cap, no interest and no fees, and a Friends pacti is a promise between people, not a legal contract we hold anyone to. In the Family door a parent or guardian who is 18 or older is the party of record, agrees to these terms, and is responsible for the minor's participation; below 13, a child only acknowledges through that adult and never on their own. No other door imposes a guardian requirement of its own.

Pacti is available in the United States during beta. If you use it from somewhere else, you are responsible for whether that is allowed where you are.

2. What the service does

Pacti takes what you type, generates an agreement document from it, invites the other person, verifies them with a code sent to their own email, records a deliberate hold-to-sign gesture from each party, and seals the result with a cryptographic hash.

After that, Pacti keeps the record: due dates, the payments each side marks and confirms, renegotiations, and a timestamped event trail.

3. What the service does not do

  • We never receive, hold, transmit, or process the money in your agreement. Not principal, not payments, not fees between you.
  • We are not a lender and we do not extend credit.
  • We are not a bank and we are not a money transmitter.
  • We are not a debt collector. We do not chase anyone, we do not call anyone on your behalf, and we do not report to consumer reporting agencies.
  • We are not a law firm and no one here is your attorney. Using Pacti does not create an attorney-client relationship.
  • We do not give legal, tax, investment, or financial advice.

4. Your agreement is yours

You and the other party are solely responsible for the substance of your agreement: the amount, the schedule, the interest if any, the promises, and whether all of that is legal and enforceable where you live.

We provide the form and the record. We do not review your agreement, we do not decide whether it is fair, and we do not guarantee that a court will enforce it.

5. Informational flags are not advice

Pacti may show you a note when an interest rate looks unusually high for your state, or when a loan looks large enough that the IRS Applicable Federal Rate could matter.

Those notes are informational only. They are generated by software from the numbers you typed, they may be incomplete or out of date, and they are not legal or tax advice. Talk to a lawyer or a tax professional before relying on them.

6. Electronic signatures

Signing on Pacti is an electronic signature under the federal ESIGN Act and state UETA laws. When you sign, you are affirming your intent to sign, consenting to receive and keep records electronically, and confirming that the person signing is you.

The signing ceremony records the consent you gave, the moment you gave it, the device and browser you used, the verification code delivered to your own email, and the hash of the exact document you saw.

You may withdraw consent to electronic records for future agreements by writing to us. Withdrawing consent does not undo an agreement you already signed.

7. Sealed records and renegotiation

Once both parties have signed, the agreement is executed and sealed. It cannot be edited, by you or by us. The event trail behind it is append-only.

If circumstances change, you can renegotiate together. That creates a new version that points back to the original. The original stays exactly as it was signed. This is on purpose: a record you can quietly rewrite is not a record.

8. Payments between you

You pay each other directly, by cash, transfer, or any app you already use. Pacti may open a payment app for you with the amount and a memo prefilled. That is a link, not a transaction. The money goes from you to them, never through us.

A payment counts as kept when the person who received it confirms it. Marking a payment you did not make, or refusing to confirm one you did receive, is a misuse of the service.

9. Paid tiers and when you are charged

Signed and Witnessed are free. Certified is free during beta. Notarized is not switched on yet, so nobody is charged for it.

Only the creator ever pays. The counterparty is never charged and is never shown a price, anywhere.

We authorize your card when you create the pacti and capture the charge only when the promise becomes real, meaning both parties have signed. If the other person never signs, you are never charged. Once captured, a paid tier covers work we have already done, so charges are generally final. If something went wrong, write to us and we will make it right.

10. Acceptable use

  • Do not use Pacti for anything illegal, or to document an illegal agreement.
  • Do not impersonate anyone, and do not sign on behalf of a person who is not you.
  • Do not use Pacti to harass, threaten, coerce, or shame another person.
  • Do not run a lending business through Pacti. It is built for people who already know each other.
  • Do not attempt to break, scrape, overload, or reverse the security of the service.
  • Do not upload content you have no right to share.

We may suspend access for a clear violation. Sealed records stay sealed even then, because the other party has a legitimate interest in the evidence.

11. Disclaimers

Pacti is provided as is and as available. We do not promise that the service will be uninterrupted, error free, or that a document generated here will be enforceable in your situation.

We do not guarantee that anyone will keep their promise. That part was always up to people.

12. Limitation of liability

To the extent the law allows, Pacti is not liable for indirect, incidental, special, or consequential damages, or for lost profits, lost data, or money you were owed and did not receive.

Our total liability for any claim relating to the service is limited to the amount you paid us for that agreement in the twelve months before the claim, or one hundred dollars, whichever is greater.

13. Disputes

If you have a problem with us, write to hello@pacti.app first. Most things get solved there, and we will make a real attempt for at least thirty days.

Disputes between you and the other party to an agreement are between the two of you. We are not a party to your agreement, we will not arbitrate it, and we will not take sides. On a lawful request we can provide the sealed record and its event trail.

14. Governing law

These terms are governed by the laws of the State of Texas, without regard to its conflict of laws rules. Courts located in Texas have jurisdiction, except where the law of your home state gives you the right to bring a claim closer to home.

15. Changes to these terms

If we change these terms in a way that matters, we will update the date at the top, post the new version here, and email the address on your account at least fourteen days before it takes effect. Continuing to use Pacti after that means you accept the new version.

Agreements you already signed keep the terms that were in effect the day you signed them.
